Terms of Service
These Terms of Service ("Terms") govern the use of the WebWaku website and the services provided by WebWaku Studio ("WebWaku," "we," "us," or "our").
By using our website or purchasing our services, you agree to these Terms.
1. Our Services
WebWaku provides website design and development services for businesses and organizations.
Our services may include:
- Website design and development
- Responsive website development
- Contact and lead forms
- SEO-ready website structure
- Custom branding and design
- Website hosting and maintenance
- Content updates
- Custom website features and integrations
- Other services agreed upon between WebWaku and the client
The exact services included in a project are determined by the applicable proposal, agreement, invoice, or written communication between WebWaku and the client.
2. Website Packages
WebWaku may offer standard packages as well as custom projects.
Our standard website package may include up to seven pages and the features described on our website at the time of purchase.
Custom projects may include additional pages, e-commerce, scheduling, integrations, advanced forms, or other custom functionality.
WebWaku reserves the right to modify package offerings and pricing for future projects.
3. Payments
Unless otherwise agreed in writing, website projects may require a deposit before work begins, with the remaining balance due according to the payment terms provided to the client.
Work may not begin until the required initial payment has been received.
WebWaku may pause or withhold delivery, launch, transfer, or other project services when an outstanding balance is due.
4. Revisions
Standard website projects may include a limited number of revision rounds as stated in the applicable package or project agreement.
A revision means a reasonable change to existing design or content.
Requests that substantially change the original project scope may be treated as additional work and may require an additional fee.
5. Project Delays
Clients are responsible for providing necessary content, information, approvals, credentials, images, branding materials, and other items required to complete a project.
Delays in providing required materials or approvals may extend the project timeline.
Estimated completion times are not guarantees when project requirements, approvals, or client materials are delayed.
6. Client Responsibilities
The client is responsible for ensuring that materials provided to WebWaku, including text, images, logos, trademarks, videos, and other content, may legally be used.
The client is responsible for the accuracy of information they provide for their website.
WebWaku is not responsible for claims arising from content supplied by the client.
7. Ownership and Website Delivery
Unless otherwise agreed in writing, the client receives rights to the final website work produced specifically for the client after all applicable project balances have been paid.
Third-party software, platforms, plugins, fonts, stock assets, hosting services, and other licensed materials remain subject to their respective licenses and terms.
WebWaku retains ownership of its pre-existing tools, systems, processes, templates, code libraries, and other materials used to create or operate websites.
8. Portfolio Use
Unless otherwise agreed in writing, WebWaku may display completed client websites or portions of completed work in its portfolio, marketing materials, social media, or website to demonstrate its services.
If a client has a specific confidentiality requirement, that arrangement should be agreed upon in writing before or during the project.
9. Hosting and Care Plans
WebWaku may offer ongoing website care, hosting, security, maintenance, and content-update services through a monthly Care Plan.
The services included in a Care Plan are determined by the plan selected by the client.
Care Plan fees are recurring unless canceled according to the applicable agreement.
Failure to maintain an active Care Plan may result in the removal or suspension of services included exclusively with that plan.
10. Third-Party Services
WebWaku may rely on third-party platforms and services for hosting, domains, payments, analytics, forms, scheduling, email, integrations, or other functionality.
WebWaku is not responsible for outages, changes, failures, pricing changes, or policy changes caused by third-party providers.
11. Domain Names
Domain registration and renewal may be handled by the client or WebWaku depending on the project agreement.
Unless otherwise agreed in writing, domain ownership and renewal responsibilities remain with the party identified in the applicable domain registration or project agreement.
12. Refunds & Cancellations
A project may be canceled by either party.
Payments for work that has already been completed, services already provided, or third-party expenses already incurred are generally non-refundable.
Deposits may be non-refundable once work has begun because the deposit reserves project time and covers initial project work.
If WebWaku cancels a project before the contracted work has been completed, WebWaku will refund any portion of payments received that has not been earned or committed to completed work or non-refundable expenses.
If a client cancels a project, any refund will be determined based on the amount of work completed, services provided, and expenses incurred at the time of cancellation.
Care Plan Refunds
Monthly Care Plan charges apply to the billing period purchased.
Once a billing period has started, that month's Care Plan payment is generally non-refundable. Cancellation will prevent future recurring charges according to the applicable cancellation terms.
Specific refund terms may be included in an individual project agreement or invoice and will control where they differ from these general Terms.
13. No Guarantee of Business Results
WebWaku builds websites intended to help businesses establish or improve their online presence.
However, WebWaku does not guarantee specific results, including:
- A specific number of customers or leads
- Search-engine rankings
- Revenue or sales
- Advertising performance
- Social-media growth
- Website traffic
- Business growth
Results depend on many factors outside WebWaku's control.
14. Acceptable Use
Clients may not use websites created or supported by WebWaku for unlawful activity, fraud, harassment, infringement, malicious activity, or other prohibited purposes.
WebWaku may suspend services when reasonably necessary to protect its systems, users, clients, or legal interests.
15. Limitation of Liability
To the maximum extent permitted by applicable law, WebWaku will not be liable for indirect, incidental, consequential, special, or punitive damages arising from the use of our website or services.
Nothing in these Terms is intended to exclude liability that cannot legally be excluded under applicable law.
16. Changes to Services and Terms
WebWaku may update its services, pricing, website content, and these Terms from time to time.
Updated Terms will become effective when posted unless a different effective date is stated.
17. Governing Law
These Terms are governed by applicable laws of the Commonwealth of Virginia, without regard to conflict-of-law principles, unless otherwise required by applicable law or agreed to in writing.
